Terms of Service

1. Acceptance of these Terms
Welcome to LogiqLead.
These Terms of Service ("Terms") constitute a legally binding agreement between Logiqcube Consulting ("Logiqcube", "LogiqLead", "we", "our", or "us") and the individual or legal entity ("Customer", "User", "you", or "your") accessing or using the LogiqLead platform and related services.
By:
- creating an account;
- accessing the Services;
- using any feature of the Services; or
- clicking an acceptance button,
you agree to be bound by these Terms.
If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
If you do not agree to these Terms, you must not access or use the Services.
2. About LogiqLead
LogiqLead is a Software-as-a-Service (SaaS) platform designed for business sales engagement and customer relationship management.
Features may include:
- Lead management
- Contact management
- Email sequences
- SMTP integration
- IMAP integration
- Unified inbox
- Activity tracking
- Audit logging
- Team collaboration
Certain features may be available only under specific subscription plans.
3. Definitions
For purposes of these Terms:
Account A registered user account used to access the Services.
Workspace A logical environment where users collaborate under a single organization.
Workspace Owner The individual or organization that created the Workspace and controls its administration.
User Any individual authorized to access a Workspace.
Customer Data All information uploaded, imported, created, transmitted, or stored by the Customer through the Services.
Services The LogiqLead application, APIs, documentation, website, integrations, and related offerings.
Subscription A paid or free plan providing access to the Services.
Content Any information, files, documents, emails, communications, text, images, or other materials processed through the Services.
4. Eligibility
To use the Services, you must:
- Have legal capacity to enter into a binding agreement.
- Not be prohibited from using the Services under applicable laws.
- Use the Services solely for lawful business purposes.
You may not use the Services if you are subject to sanctions or restrictions that prohibit such use under applicable law.
5. Account Registration
To access certain features, you must create an account.
You agree to:
- Provide accurate, complete, and current information.
- Maintain the accuracy of your information.
- Keep your credentials confidential.
- Prevent unauthorized access to your account.
- Notify us promptly if you suspect unauthorized use.
You are responsible for all activities occurring under your account, subject to the limitations of liability set out in these Terms.
6. Workspace Ownership
Each Workspace has one designated Workspace Owner.
The Workspace Owner is responsible for:
- Managing subscriptions.
- Inviting and removing users.
- Managing connected email accounts.
- Configuring compliance settings.
- Managing billing information.
- Controlling Workspace data.
If a dispute arises regarding Workspace ownership, LogiqLead may require documentation reasonably sufficient to establish ownership before making administrative changes.
7. Team Members
Workspace Owners may authorize additional users to access the Workspace.
Team members:
- Access only the permissions granted to them.
- Must comply with these Terms.
- Act on behalf of the Workspace.
- May access Customer Data as permitted by their assigned role.
Workspace Owners are responsible for managing user permissions and promptly removing access when no longer required.
8. Account Security
You are responsible for maintaining reasonable security practices, including:
- Using strong passwords.
- Protecting authentication credentials.
- Restricting unauthorized access.
- Using supported browsers and devices.
We may temporarily restrict access to an account or require verification of account ownership if we reasonably suspect unauthorized access, fraudulent activity, or a security incident.
9. Data and Privacy Responsibilities
Customers are responsible for:
- Maintaining the accuracy of Customer Data.
- Ensuring lawful collection of personal information.
- Complying with applicable privacy laws.
- Complying with anti-spam laws.
- Obtaining required consents where applicable.
- Maintaining appropriate records.
- Configuring sender identification.
- Providing unsubscribe mechanisms where legally required.
- Reviewing automated email sequences before activation.
Customers remain solely responsible for the content of emails sent through their connected email accounts.
10. Email Accounts
Customers may connect supported SMTP and IMAP accounts.
By connecting an email account, you represent that:
- You own or are authorized to use the mailbox.
- You have permission to send emails through the connected account.
- You comply with applicable email service provider policies.
- You understand that LogiqLead acts as a platform facilitating email delivery through configured services.
Customers are responsible for maintaining valid credentials for connected accounts.
11. Customer Data
You retain ownership of all Customer Data uploaded to the Services.
By using LogiqLead, you grant us a limited, non-exclusive, worldwide, royalty-free, sublicensable (solely to our subcontractors and service providers engaged to help provide the Services) license to:
- Host Customer Data.
- Process Customer Data.
- Store Customer Data.
- Transmit Customer Data.
- Backup Customer Data.
- Display Customer Data within the Services.
- Perform technical operations necessary to provide the Services.
This license exists solely for the purpose of operating, maintaining, securing, and improving the Services.
We do not acquire ownership of Customer Data.
12. Privacy
Our collection and processing of personal information are governed by the LogiqLead Privacy Policy.
By using the Services, you acknowledge that personal information may be processed as described in the Privacy Policy.
Where LogiqLead processes Customer Data on behalf of customers, the customer is generally the data controller, and LogiqLead acts as a data processor.
13. Changes to the Services
We may modify, improve, replace, or discontinue features of the Services from time to time.
Such changes may include:
- New functionality.
- Security enhancements.
- Performance improvements.
- User interface updates.
- Infrastructure upgrades.
- Deprecation of obsolete features.
Where reasonably practicable, we will provide advance notice of material changes that significantly affect the Services.
14. Beta Features
From time to time, we may offer beta, preview, experimental, or early access features.
Beta features:
- May contain defects.
- May change without notice.
- May be discontinued.
- May not receive production support.
- Are provided for evaluation purposes.
Unless otherwise stated, beta features are provided "as is" without warranties.
15. Changes to these Terms
We may revise these Terms from time to time.
When material changes are made, we may:
- Update the "Last Updated" date.
- Publish the revised Terms on our website.
- Notify customers through the Services or by email where required by law.
Continued use of the Services after the effective date of revised Terms constitutes acceptance of the updated Terms unless applicable law requires additional consent.
16. Subscription Plans
LogiqLead offers various subscription plans, which may include:
- Free Trial Plan
- Starter Plan
- Growth Plan
The features, usage limits, storage capacity, email sending limits, workspace limits, and pricing applicable to each plan are described on our website or within the Services.
We reserve the right to modify available plans and plan features from time to time.
17. Free Trial Plan
The Free Trial Plan is provided to allow users to evaluate and use a limited version of the Services.
Free Trial Plan limitations may include restrictions on:
- Number of users
- Number of workspaces
- Connected mailboxes
- Active email sequences
- Leads
- Monthly email volume
- Storage
We may modify or discontinue the Free Trial Plan at any time without liability.
18. Free Trial
If offered, trial subscriptions are intended solely for evaluation purposes.
Unless otherwise stated:
- Trials automatically expire at the end of the trial period.
- Access to certain features may be limited after expiration.
- Conversion to a paid subscription may require a valid payment method.
- We may terminate a trial if we reasonably believe it is being abused.
- Users may not create multiple trial accounts to circumvent usage restrictions.
19. Fees and Billing
Paid subscriptions require payment of applicable fees.
By purchasing a subscription, you agree to pay:
- Subscription fees.
- Applicable taxes.
- Government charges.
- Transaction fees where applicable.
Subscription fees are charged according to the billing cycle selected during purchase.
Prices are displayed exclusive of taxes unless otherwise stated.
20. Payment Processing
Payments are processed by third-party payment service providers.
We do not store complete payment card numbers or card verification values (CVV).
Your use of payment services is subject to the terms and privacy policies of the applicable payment provider.
21. Subscription Renewals
Unless cancelled before the renewal date, paid subscriptions automatically renew for successive billing periods.
By subscribing, you authorize the applicable payment provider to charge the renewal amount using your selected payment method.
You may disable automatic renewal before the renewal date through your account settings, where available.
22. Pricing Changes
We may change subscription pricing from time to time.
Where legally required, pricing changes will become effective only after reasonable prior notice.
Price changes will not affect billing periods that have already been paid.
23. Taxes
Customers are responsible for all applicable taxes, duties, levies, or governmental assessments associated with their subscription, except taxes based on Logiqcube Consulting's net income.
Where required by law, applicable taxes will be added to invoices.
24. Refund Policy
Unless otherwise required by applicable law or expressly stated in a separate written agreement:
- Subscription fees are non-refundable.
- Partial billing periods are not refunded.
- Unused features do not qualify for refunds.
- Downgrades become effective at the end of the current billing period unless otherwise stated.
Nothing in this section limits any non-waivable consumer rights available under applicable law.

25. Suspension for Non-Payment
If payment cannot be successfully processed, we may:
- Suspend access to paid features.
- Restrict account functionality.
- Suspend email sending.
- Prevent new sequence activation.
- Terminate the subscription after a reasonable period of non-payment.
Customers remain responsible for outstanding fees accrued before suspension or termination.
26. Customer Responsibilities
Customers agree to use the Services responsibly and in compliance with all applicable laws.
Customers are responsible for:
- Their users.
- Their connected email accounts.
- Customer Data.
- Email content.
- Uploaded files.
- Compliance with applicable regulations.
- Security of their credentials.
- Activities performed within their Workspace.
27. Acceptable Use
Customers must not use the Services to:
- Violate applicable laws.
- Send unsolicited communications in violation of applicable anti-spam laws.
- Transmit malicious software.
- Conduct phishing campaigns.
- Impersonate another individual or organization.
- Distribute unlawful content.
- Promote fraudulent activities.
- Interfere with the operation of the Services.
- Attempt unauthorized access to systems or accounts.
- Circumvent technical limitations or security controls.
- Reverse engineer the Services except where prohibited by law.
Additional restrictions are described in the Acceptable Use Policy.
28. Email Compliance
Customers are solely responsible for ensuring that emails sent through LogiqLead comply with all applicable laws and regulations.
Depending on the jurisdiction, customers may be required to:
- Include sender identification.
- Provide a valid business address.
- Include legally required unsubscribe mechanisms.
- Honor unsubscribe requests within applicable legal timeframes.
- Obtain required consent where applicable.
- Maintain suppression lists where required.
LogiqLead provides features that assist with compliance but does not guarantee legal compliance for any specific email campaign.

29. Third-Party Email Providers
LogiqLead integrates with third-party email providers using customer-supplied credentials or authorized authentication methods.
Customers acknowledge that:
- Email delivery depends on the connected provider.
- Delivery rates cannot be guaranteed.
- Third-party outages may affect service.
- Provider policies may limit sending activity.
- Provider terms continue to apply.
We are not responsible for actions taken by third-party providers, including suspension of email accounts.
30. Integrations
The Services may integrate with third-party software and services.
Examples include:
- Email providers.
- Payment processors.
- Calendar and scheduling tools.
- Analytics providers.
We do not warrant the availability, accuracy, or continued compatibility of third-party integrations.
31. Service Availability
We aim to provide reliable access to the Services but do not guarantee uninterrupted availability.
Service interruptions may occur due to:
- Scheduled maintenance.
- Emergency maintenance.
- Internet connectivity issues.
- Third-party outages.
- Security incidents.
- Infrastructure failures.
- Force majeure events.
We may perform maintenance without prior notice where necessary to protect the security or integrity of the Services.

32. Customer Backups
Customers are responsible for maintaining copies of important Customer Data where appropriate.
Although LogiqLead maintains operational backup procedures, customers should not rely solely on the Services as their exclusive repository for critical business information.
33. Feedback
If you provide suggestions, ideas, recommendations, or other feedback regarding the Services, you grant Logiqcube Consulting a perpetual, worldwide, irrevocable, royalty-free license to use, modify, incorporate, publish, and otherwise exploit such feedback without compensation or attribution.
This provision does not transfer ownership of your Customer Data or confidential business information.
34. Publicity
Unless otherwise agreed in writing, Logiqcube Consulting will not publicly identify a customer as a user of LogiqLead or use the customer's name, logo, or trademarks in marketing materials without prior permission.
35. Intellectual Property
Except for Customer Data, all rights, title, and interest in and to the Services remain the exclusive property of Logiqcube Consulting and its licensors.
This includes, but is not limited to:
- Source code
- Object code
- Software architecture
- Databases
- User interfaces
- Designs
- Logos
- Trademarks
- Service marks
- Documentation
- APIs
- Workflows
- Reports
- Dashboards
- Images
- Graphics
- Text
- Metadata
- Configuration templates
Nothing in these Terms transfers ownership of our intellectual property to you.
36. Limited License
Subject to these Terms and your compliance with them, Logiqcube Consulting grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your internal business purposes during your active subscription.
This license automatically terminates upon expiration or termination of your access rights.
37. Restrictions
Except as expressly permitted by applicable law, you must not:
- Copy the Services.
- Modify the Services.
- Sell or resell the Services.
- Lease or sublicense the Services.
- Reverse engineer the Services.
- Decompile or disassemble the Services.
- Create derivative works.
- Remove copyright notices.
- Circumvent technical protections.
- Use automated systems to scrape the Services without authorization.
- Attempt to obtain source code.
38. Customer Data Ownership
You retain all ownership rights in Customer Data.
LogiqLead does not claim ownership of:
- Leads
- Contacts
- Emails
- Attachments
- Notes
- Documents
- Imported files
The license you grant us to host, process, secure, transmit, back up, and display this Customer Data for the purpose of providing the Services is described in Section 11 (Customer Data).
39. Confidential Information
Each party may receive confidential information from the other.
Confidential Information includes non-public information such as:
- Business plans
- Product roadmaps
- Customer lists
- Technical information
- Financial information
- Security information
- Credentials
- Trade secrets
- Source code
- System architecture
- Pricing information
Confidential Information does not include information that:
- Is publicly available through no breach of these Terms.
- Was lawfully known before disclosure.
- Is independently developed without use of confidential information.
- Is lawfully received from a third party without confidentiality obligations.
Each party agrees to:
- Protect confidential information using reasonable care.
- Use confidential information only for purposes related to these Terms.
- Not disclose confidential information except as permitted by these Terms or required by law.
40. Service Availability Disclaimer
The Services are provided on a commercially reasonable efforts basis.
While we strive to maintain high availability, we do not guarantee:
- Continuous availability.
- Error-free operation.
- Uninterrupted access.
- Compatibility with every device or browser.
- Availability of third-party integrations.
- Successful delivery of every email.
Temporary interruptions may occur due to maintenance, upgrades, third-party outages, security events, or circumstances beyond our reasonable control.
41. Disclaimer of Warranties
To the fullest extent permitted by applicable law, the Services are provided "AS IS" and "AS AVAILABLE."
Logiqcube Consulting disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of:
- Merchantability.
- Fitness for a particular purpose.
- Non-infringement.
- Accuracy.
- Reliability.
- Availability.
- Performance.
- Results obtained from use of the Services.
We do not warrant that:
- The Services will meet every customer's requirements.
- Email campaigns will achieve desired business outcomes.
- Emails will reach every intended recipient.
- Third-party providers will remain available.
- The Services will be free from interruptions or defects.
Nothing in this section excludes warranties that cannot be excluded under applicable law.
42. Customer Compliance
Customers are solely responsible for complying with all laws applicable to their use of the Services, including those relating to:
- Privacy.
- Data protection.
- Marketing communications.
- Consumer protection.
- Export controls.
- Anti-spam requirements.
- Employment obligations.
- Tax obligations.
LogiqLead provides software tools but does not provide legal advice or guarantee legal compliance.
43. Limitation of Liability
To the fullest extent permitted by law, Logiqcube Consulting and its directors, officers, employees, affiliates, licensors, and suppliers shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to the Services, regardless of the legal theory on which the claim is based (whether in contract, tort, including negligence, strict liability, or otherwise), and even if Logiqcube Consulting has been advised of the possibility of such damages.
This includes, without limitation:
- Lost profits.
- Lost revenue.
- Lost business opportunities.
- Loss of goodwill.
- Loss of data.
- Business interruption.
- Procurement of substitute services.
43.1 Maximum Liability
Except where liability cannot legally be limited, the aggregate liability of Logiqcube Consulting arising out of or relating to the Services shall not exceed the total subscription fees paid by the customer to LogiqLead during the twelve (12) months immediately preceding the event giving rise to the claim.
For customers using only the Free Plan, our aggregate liability shall not exceed the greater of:
- INR 1,000; or
- The minimum amount required by applicable law.
44. Indemnification
You agree to defend, indemnify, and hold harmless Logiqcube Consulting, its affiliates, officers, directors, employees, contractors, licensors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or relating to:
- Your use of the Services.
- Your Customer Data.
- Your violation of these Terms.
- Your violation of applicable law.
- Your infringement of third-party rights.
- Emails sent through your connected accounts.
- Misuse of the Services by your users.
45. Suspension
We may suspend access to all or part of the Services where reasonably necessary to:
- Protect the security of the platform.
- Prevent abuse.
- Investigate suspected fraud.
- Comply with legal obligations.
- Address non-payment.
- Prevent harm to other customers.
- Respond to security incidents.
Where practical, we will provide notice before suspension unless doing so would compromise security or violate applicable law.
46. Termination
You may stop using the Services at any time.
We may terminate or suspend your account if:
- You materially breach these Terms.
- Required fees remain unpaid.
- The Services are used unlawfully.
- Fraudulent activity is detected.
- Continued access creates material security risks.
- We are required to do so by law.
Termination does not relieve either party of obligations that accrued before termination.
47. Effect of Termination
Upon termination:
- Your right to access the Services ends.
- We may disable account access.
- Customer Data may be retained for a limited period as described in the Privacy Policy or required by law.
- Outstanding payment obligations remain due.
- Provisions intended to survive termination continue to apply.
48. Force Majeure
Neither party shall be liable for delays or failures caused by events beyond its reasonable control, including:
- Natural disasters.
- War.
- Terrorism.
- Civil unrest.
- Government actions.
- Internet failures.
- Utility failures.
- Pandemics.
- Labor disputes.
- Cybersecurity incidents affecting third-party infrastructure.
The affected party shall use commercially reasonable efforts to resume performance as soon as practicable.
49. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
50. Jurisdiction
Subject to any mandatory rights under applicable law, the courts located in Vadodara, Gujarat, India shall have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services.
51. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
52. Waiver
Failure by Logiqcube Consulting to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
53. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
Logiqcube Consulting may assign these Terms in connection with a merger, acquisition, corporate restructuring, or sale of substantially all of its assets.
54. Entire Agreement
These Terms, together with the Privacy Policy, Acceptable Use Policy, Cookie Policy, Data Processing Agreement (if applicable), and any executed Order Forms or Subscription Agreements, constitute the entire agreement between you and Logiqcube Consulting regarding the Services and supersede all prior discussions, proposals, and agreements relating to the same subject matter.
